Jednatel ve společnosti s ručením omezeným

Abstract

Tato bakalářská práce popisuje funkci jednatele ve společnosti s ručením omezeným. Cílem bakalářské práce bylo zpracování komplexního náhledu do procesu vzniku, fungování a zániku společnosti s ručením omezeným, zaměřeného především na výkon funkce jednoho statutárního orgánu této společnosti, a to jednatele. Práce byla rozdělena na tři části, s výjimkou úvodu a závěru. V první, teoretické části se věnuje charakteristice společnosti s ručením omezeným. Analyzuje právní úpravu společnosti s ručením omezeným od založení společnosti až po její zánik. Zabývá se, mimo jiné, také společenskou smlouvou, orgány společnosti a rezervním fondem. V druhé, teoretické části se zaměřuje na postavení jednatele ve společnosti s ručením omezeným. Zde popisuje, mimo jiné, volbu jednatele do funkce, práva a povinnosti jednatele a zánik funkce jednatele. Závěrečná část je věnována výkonu jednatele v praxi, na příkladu reálné ostravské společnosti. V této části se práce snaží převést některé z teoretických poznatků do praktického života

This thesis describes a function of agent in a company with limited liability. The aim of this thesis was a comprehensive insight into the working process of the creation operation and dissolution of a limited company focused primarily on the performance of a statutory body of the company namely agent. The work was divided into three parts with the exception of the introduction and conclusion. The first theoretical part deals with characteristics of limited liability company. Analyzes legislation limited liability company from the founding of the company until its dissolution. It deals with, among other things, articles of partnership statutory body and the reserve fund. The second theoretical part is focuses on the position of agent on the company with limited liability. Here describes among other things the choice of agent to the functions discretions and duties of agent and end function of agent. The final section is devoted to the exercise of executive experience in the real example of the Ostrava-based company. This section try to transfer some of the theoretical knowledge to practical life.
