Odpovědnost a ručení statutárních orgánů v kapitálových společnostech

Abstract

Předmětem diplomové práce na téma „Odpovědnost a ručení statutárních orgánů v kapitálových společnostech“ je shrnout základní právní aspekty pro výkon funkce člena statutárního orgánu. V první kapitole můžeme najít charakteristiku kapitálových společností, statutárních orgánů a základní i kvalifikační požadavky na výkon funkce člena statutárních orgánů. Práva a povinnosti statutárních orgánů jsem vymezila v kapitole číslo dvě. V této kapitole jsem zdůraznila důvody pro uzavření smlouvy o výkonu funkce statutárního orgánu. Třetí kapitola je zaměřena na odpovědnost, ručení a neplatnost pracovněprávního poměru uzavřeného mezi společností a jeho statutárním orgánem. V závěru práce jsem shrnula získané teoretické informace a vyjádřila jsem k dané problematice své názory.

The subject of the diploma thesis called „Responsibility and Liability of statutory authorities in the capital companies“ is to summarize the basis aspects of the statutory authority´s performance. In the first chapter we can find the characteristic of limited liability companies, statutory authorities and the basic qualification requirements to perform the duties of statutory authorities. Rights and obligations of statutory authorities are determined in chapter two. In this part I highlighted the reasons for statutory body performance contract conclusion. Third chapter is focused on the responsibility, liability and the invalidity of an employment concluded between the company and its statutory authority. Finally, I summarized the theoretical information and expressed my views to this issue.
