Založení a vznik společnosti s ručením omezeným

Abstract

Diplomová práce se zabývá problematikou založení a vzniku společnosti s ručením omezeným. Cílem diplomové práce je komplexně analyzovat problematiku zakládání a vzniku společností s ručením omezeným v České republice, a to jak z teoretického, tak praktického hlediska. V teoretické části diplomové práce je vymezena právní úprava této právní formy společně s jejím historickým vývojem. Jsou zde charakterizovány základní znaky společnosti s ručením omezeným a také výhody a nevýhody této právní formy. Pojednáno je zde také o právech a povinnostech společníků a součástí teoretické části je rovněž zmínka o orgánech společnosti. Je zde podrobně pojednáno o samotném založení a vzniku společnosti s ručením omezeným a o jednotlivých krocích, které jsou součástí tohoto procesu, včetně náležitostí společenské smlouvy. Praktická část diplomové práce je zpracována formou dotazníkového šetření, které cílilo na zakladatele této právní formy a rozhovoru, který byl proveden s notářkou.

The diploma thesis deals with the issue of the establishment and formation of a limited liability company. The aim of the diploma thesis is to comprehensively analyze the issue of the establishment and formation of limited liability companies in the Czech Republic, both from a theoretical and practical point of view. The theoretical part of the diploma thesis defines the legal regulation of this legal form together with its historical development. The basic features of a limited liability company are characterized here, as well as the advantages and disadvantages of this legal form. The rights and obligations of partners are also discussed here, and the theoretical part also includes a mention of the company's bodies. The establishment and formation of a limited liability company itself and the individual steps that are part of this process, including the requirements of the partnership agreement, are discussed in detail here. The practical part of the diploma thesis is prepared in the form of a questionnaire survey that targeted the founders of this legal form and an interview that was conducted with a notary.
