Posouzení due diligence a jeho přínosu pro podnikatele

Abstract

Bakalářská práce je zaměřena na due diligence a přínosy pro podnikatele. Cílem práce je seznámení s pojmem due diligence, přínosy obecně a na konkrétním příkladu. Pro představu, jak celý proces probíhá, je na příkladu popsán průběh komunikace mezi zájemcem, zpracovatelem due diligence a cílovou společností. V teoretické části práce jsou vymezeny základní pojmy due diligence, rozdíly mezi due diligence a dalšími prověrkami podniku, jako je podniková diagnostika, audit a ekonomická analýza. Dále také popis jednotlivých části due diligence a to zejména právní a finanční. Praktickou část tvoří příklad prodeje společnosti, ve kterém si zájemce o koupi zajistil proces due diligence prodávajícího. Tato transakce je podkladem pro určení přínosů jak pro prodávajícího, tak pro kupujícího. Je zde uvedeno několik problémů a jejich způsoby řešení.

The bachelor thesis is focused on due diligence and its benefits for entrepreneurs. The aim of the thesis is to get acquainted with the term due diligence, its contribution in general and a concrete example. In order to get an idea about the whole process, the example shows the course of communication between the bidder, the due diligence processor and the target company. The basic concepts of due diligence, the differences between due diligence and other checks of the company, such as company diagnosis, audit and economic analysis are defined in the theoretical part. Moreover, the description of the individual parts of due diligence follows, especially legal and financial part. The practical part contains an example of a company's sale in which the buyer has arranged the seller's due diligence process. This transaction is the basis for defining benefits for both sides, the seller and the buyer. Furthermore, several issues and ways how to deal with them are mentioned.
