Abstract

Object and purpose of the study was to show practical examples of best practices and the establishment of a limited liability company under the existing and new legislation, the write down of appropriate social contract and point out the benefits and drawbacks of relevant legislation of the issue. Thesis introduces reader to the existing theory of editing a limited liability company, introduces it with selected innovations, such as the abolition of mandatory minimum limit of capital, introduction of a stem of leaves and dressing rules of conduct with due diligence, which extends business judgment. The thesis was carried out questionnaire investigating had the task to find out how to change the public perception of training new legislation in connection with the legislation limited liability company. The results were commented. In the last chapter was created a practical guide for readers establishment and inception of a limited company. There are described the steps with reference to the legislation or theory and the social contract modified by new legislation. The paper was prepared substance, which the authors arrived at the establishment and creation of liability interesting and relevant. According to author new legislation does not change very appropriate.
