Abstract

The aim of this thesis is to specify separate ways of participant termination of membership in a Limited Liability Company, enlightenment of such a step including description of consequences coming out of the participant termination of membership in the Limited Liability Company. The method of description and comparison has been used here. In practical part there are analyzed acquired information concerning the real company and there are evaluated the identified realities. In the first part there is described the Limited Liability Company as a legal form of being in business, its bodies, the birth of shareholders participation and legal status of theirs. The other part of the thesis focuses on individual possibilities of participant termination including the results from legal and economic point of view. Then there is described the real Limited Liability Company with focus on participant termination of membership. According to the up-to-date legal regulations the participant termination of membership can come to an end by means of eleven ways that have been gradually detailed in the work. In the company having been detailed in the work the participant termination has been finished with the transfer of business shares to another participant. We have been meeting these ways participant termination membership in business practice quite often.
