Abstract

This thesis deals with the legal framework of a limited liability company defined in the Commercial Code and future legislation of a limited liability company by the Act on Commercial Corporations, which comes into effect on 1. 1. 2014. The aim of this thesis is to compare both the legislation and highlight the most important changes in legislation of a limited liability company. In the first part, the substance of a limited liability company and the historical development of legislation are clarified. Then is analyzed registered capital, stake, Memorandum of Association as well as the establishment and termination of a limited liability company from perspective of both legislations. The second part deals with changes in the status of partner in a limited liability company, which brings the Act on Commercial Corporations. The third part is about the differences in the bodies of a limited liability company from perspective of both legislations.
