Návrh postupu přeměny české akciové společnosti rozdělením formou štěpení se vznikem nové společnosti

Abstract

This bachelor thesis is focused on the joint-stock company transformation implementation and it is treated as a proposal of a possible partition of the joint-stock company in a cleavage form. The aim of this thesis is a proposal for the implementation of the various activities leading to partition the join-stock company from the complex organizational and administrative point of view, from the plan to its realization which is applied in the Czech Joint-stock Company. In the theoretical part are explained concepts of companies, their formation, ways of transformation and its legislation of transformation. In the application part is processed The Project of Transformation including necessary activities which have to be done according to compiled schedule. In this part are also introduced reasons why is appropriate to transform (to part) the company. The thesis evaluation is focused on the needed effective organization of personnel and consultants working on the transformation process and coherence of their activities to respected the legislation and its terms and also there are presented advantages and disadvantages arising from the transformation process realization.
