Abstract

The aim of bachelor thesis is to highlight specific features of joint- stock company with the only shareholder, and also to mention basic differences in legal adjustment included in new act on business corporations that will come into force on 1 January 2014. In bachelor thesis there are used scientific methods of comparison, analysis and synthesis which intersect in single chapters. The first part of thesis deals with characteristic of joint- stock company and with security papers issued by joint- stock company. It includes description of establishment and creation, cancellation and dissolution of joint- stock company. The second part is focused on legal position of shareholder and his basic and supplementary rights and duties. The third part deals with basic bodies of joint- stock company. Scientific method of comparison was used so as to confront differences in joint- stock company in comparison with current legal adjustment.
