Abstract

The intention of this bachelor thesis is to help entrepreneurs to introduce options of adjustment in design of Deed of Association in a Czech Ltd in relation to Specific Business Plan. The thesis describes general aspects of the business plan, constitution of business companies, process of foundation of the limited company with the main emphasis on the disposition of Deed of Association. There are mechanisms presented in the thesis, which could be incorporated into the status of company. These mechanisms could be originated from need of the founding shareholders of the company and prevent some of the business problems which may occur. The main point of this thesis is the amount of options to adjustment of share of the company. There is a lot of rights and duties bounded to this adjustment. There are also descriptions and examples of side letters (shareholder agreements) or shot-out clauses. Final chapter of this thesis contains a commentary to the standard Deed of Association.
