Abstract

The diploma thesis deals with the issue of the establishment and formation of a limited liability company. The aim of the diploma thesis is to comprehensively analyze the issue of the establishment and formation of limited liability companies in the Czech Republic, both from a theoretical and practical point of view. The theoretical part of the diploma thesis defines the legal regulation of this legal form together with its historical development. The basic features of a limited liability company are characterized here, as well as the advantages and disadvantages of this legal form. The rights and obligations of partners are also discussed here, and the theoretical part also includes a mention of the company's bodies. The establishment and formation of a limited liability company itself and the individual steps that are part of this process, including the requirements of the partnership agreement, are discussed in detail here. The practical part of the diploma thesis is prepared in the form of a questionnaire survey that targeted the founders of this legal form and an interview that was conducted with a notary.
