Abstract

The goal of the thesis is to find out whether factoring as a financial tool is a right choice for our firm, how to get it and what a factoring contract should look like. In the introduction, the current situation of machine industry where our firm operates is described. The theoretical part is focused on description of financing area of the company and the two types of financing between which our firm must decide, that is financing by factoring and overdraft account. An emphasis is put on economic and legal aspects of factoring. These two financial tools are described in terms of price, advantages, and disadvantages. Focus is put on legal aspects of a cession of receivables and other associated aspects. Application part is divided according to the goals we follow. First goal is to decide if factoring is a right choice for our company. For the next step, we try to find a way how to get a factoring or overdraft account and then we focus on contract of specific type of financial tool. The first part tries to answer a question of which one of the two types of financing is convenient according to company criteria. Financial market and the market where our firm operates is analyzed here. The analysis is important because we need to know whether the financial services will be useful for the strategy of the firm. The next step is comparison of the price, services, parameters and flexibility of these two types of financing. For this procedure, the criteria decision making was used. Based on evaluation of criteria the most convenient financial tool is selected. The following step is focused on how to get the selected financial tool. Therefore, the steps we need to take in order to obtain the tool are evaluated - starting from answering of questionnaire and analysis of the company to sending a request. Finally, the draft of a real contract is created with all it should contain. The contract is based not only on laws but also on local customs. The last part of the thesis concludes the findings analyzed in application part. The thesis is about connection between economic and legal aspects which every firm encounters and must deal with.
