Pojištění odpovědnosti za škodu členů statutárních orgánů

Abstract

The aim of this thesis is to make an interpretation of damage liability topic of statutory authorities members and variable options of risk coverage by liability insurance. Thesis is divided into three parts. First part is focused on juristic modification of statutory authorities of particular commercial companies and definition of their damage responsibility. There is also defined difference between employee and appointment performance of member of statutory authorities as it is written in Mercantile Law Code. Second part is focused on liability insurance options with certain focus on statutory authorities. In the third part analysis of liability insurance in practice with certain product of Chartis insurance company included. Variable options of risk coverage resulting from damage creation are demonstrated on practical examples and advantages of insurances are explained. Reseaarch among potential users of insurance was used as well as their knowledge about risks and options of risk coverage resulting from position of executive member or board of directors member. There is also included novel of code of mercantile law with reference to regulation regulating damage liability of members of statutory authorities valid from 1.1.2012. At the end we can say that this kind of insurance is not on the Czech market for a long time, so it is not known well by users. However even insurance companies do not have many experience with disposal of insurance events because there are not many accusations and in many cases they are postponed or canceled for presumption of innocence of executive member or member of statutory authorities. We can say that interest in insurance is rising and there is still huge potential in the Czech Republic to create this type of insurance mainly in the circle of small and medium companies without foreign or abroad participation.
