Odpovědnost za škodu členů orgánů obchodních společností a možnosti pojištění

Abstract

The aim of this thesis is to provide a detailed interpretation of the liability of statutory bodies and possibilities of using liability insurance of statutory bodies members in the companies with special focus on a Limited Liability Company and Joint Stock Company. The theoretical part is divided into two subsections. The first subsection is devoted to the definition of capital corporations and their statutory bodies according to the corporation law. The second subsection deals with the actual liability of statutory bodies and with the theoretical aspects of insurance of this liability. In the theoretical part, the author undertakes a comparison of insurance products available for insurance statutory bodies from the point of view of Bc. Petr Plaček, the corporate agent of the company ESO-reality, Ltd. Thus, the final outcome of this thesis is the recommendation of an appropriate insurance product. Moreover, this thesis may serve also as a basis for those who are currently thinking of concluding a contract of insurance of liability of statutory bodies.
