Nová úprava společnosti s ručením omezeným z pohledu podnikatele

Abstract

Bakalářská práce se věnuje nové právní úpravě společnosti s ručením omezeným z pohledu podnikatele. Cílem práce je podtrhnutí nejvýznamnějších změn v oblasti obchodního práva, které dopadají právě na právní formu s.r.o. a také rozbor nejzajímavějších institutů ochrany společníků a věřitelů, které ZOK společně s NOZ poskytuje. V práci je popsán vývoj s.r.o. v historii. Další část práce uvádí základní charakteristiku s.r.o. a změny právní úpravy od roku 2014. Nejdříve jsou uvedeny nejdůležitější změny a poté menší změny a reformulace, které zákon o obchodních korporacích přináší. V průběhu práce jsou jednotlivé změny podrobovány kritice. Závěrečná kapitola práce je věnována mechanismům ochrany věřitelů a společníků, které ZOK přináší. Jsou jimi především pravidlo wrongful trading, test insolvence, nebo kumulativní hlasování. Rekodifikace soukromého práva je hodnocena velmi pozitivně a nová úprava s.r.o. přináší velké novinky podnikatelům.

This bachelor thesis deals with new legislation limited liability company from the perspective of enterpreneurs. The aim of the study is underline the most important changes in the field of commercial law, that hit just the legal form Ltd. and analysis of the most interesting institutes protection of shareholders and creditors, which ZOK with NOZ brings. The thesis describes the development Ltd. in history. Another section shows the basic characteristics Ltd. and changes in legislation since 2014. First are the most importatnt changes and after minor changes and reformulations that the law of business corporations brings. During the work, the individual changes are criticized. The final chapter is devoted to the mechanisms of protection of creditors and shareholders which brings ZOK. They are primarily rule of wrongful trading, test insolvency, or cumulative voting. Re-codification of private law is very good and the new regulation Ltd. brings great news for entrepreneurs.
