Abstract

This thesis deals with the general adaptation of a limited company in the current legislation contained in Act No. 513/1991 Coll., The Commercial Code, as well as trying to point out the main differences between the present law and new legislation contained in Act No. 90/2012 Coll., on commercial companies and cooperatives (business Corporations Act) which will come into effect from 1 January 2014. The main difference is the change in the share capital, the possibility of variations of shares and registration sheets; shareholder’s right to withdraw from the company.
