Ocenění přeměny obchodní skupiny

Abstract

Cílem diplomové práce je stanovení tržní hodnoty vybrané přeměňované obchodní společnosti pro účely transformace obchodní skupiny. K ocenění je využita dvoufázová metoda DCF-Entity a EVA-Entity. Tato práce je rozdělena do dvou částí, kdy v teoretické části je podrobně popsána problematika přeměn společností. Součástí teoretické části je rovněž popis metod ocenění a volba vhodné formy přeměny společnosti. V praktické části je nejprve představena oceňovaná obchodní společnost, poté je zpracovaná strategická analýza, finanční analýza, SWOT analýza, finanční plán, stanovení nákladů na kapitál a ocenění společnosti vybranými metodami.

The aim of this thesis is to determine the market value of a selected company currently undergoing a corporate restructuring in order to transform the whole business group. The two-stage DCF-Entity and EVA Entity methods are used to value the company. The thesis is divided into two parts – theory and practical application. The theory describes in detail the topic of business transformation as well as the valuation methods and last but not least the selection of the appropriate type of business transformation. In the practical part, at first the chosen study case company is introduced followed by the strategic analysis, SWOT analysis, financial plan, calculations of capital costs and business valuation by the selected above mentioned methods.
