Charakteristika společnosti s ručením omezeným se zaměřením na jednotlivé orgány

Abstract

Cílem bakalářské práce bylo teoreticky popsat společnost s ručením omezeným, v praktické části se podrobně zaměřit na nejvyšší orgán společnosti, valnou hromadu, a zde uvést aktuální případy z praxe. V první kapitole jsou rozebrána teoretická východiska s. r. o., její základní rysy a celý průběh fungování společnosti, od jejího vzniku až po výmaz z obchodního rejstříku. V následující kapitole jsou popsány jednotlivé orgány, především jednatelé a dozorčí rada. A v poslední kapitole jsem se zaměřila na valnou hromadu, její teoretické náležitosti a také praktické příklady z judikatury Nejvyššího soudu.

The aim was to describe theoretically limited liability company, in the practical part of a detailed focus on the highest authority of the general meeting and give actual examples from practice. The first chapter analyzes the theoretical Ltd, its fundamental features and functioning of the entire course, from its inception until after the striking off the companies register. The next chapter describes the various organs, particularly the managers and the supervisory board. And in the last chapter, I focused on the general meeting, its theoretical elements and practical examples from the jurisprudence of the Supreme Court.
