Abstract

This bachelor thesis is focused on the process of establishment of the limited liability company. The aim of the thesis is to make the individual phases of company establishment clear. The first part of the thesis involves a determination of legal regulations, characteristics, advantages and disadvantages of the limited liability company. Creation of the memorandum is considered the fundamental part of the whole establishing process. In this connection, particular obligatory issues are defined. Chosen facultative requirements and their significance for the company are analyzed. Practical part of this thesis includes an evaluation of memorandum of the chosen company, such situation is described the company is blocked. Recommendations are given how to avoid the problems in the future.
