Právní rizika při expanzi franchisového podnikání do Polska

Abstract

The thesis focuses on the analysis of legal risks associated with the international expansion of franchising business, specifically in the context of entering the Polish market with the Czech franchise concept “Tak trochu jiná točená.” The study includes an assessment of the legal environment of franchising in the Czech Republic and Poland, with an emphasis on key areas influencing the implementation of foreign expansion. Particular attention is paid to legal risks related to the structuring of the franchise agreement, protection of trademarks, know-how, compliance with hygiene and food regulations, and competition law rules. Based on the conducted analysis, individual legal risks are evaluated using a legal risk matrix, and specific measures aimed at their mitigation are proposed. The outcome is an overview of the main legal risks associated with franchising expansion into Poland, along with a set of practical recommendations applicable to the entry of franchise concepts into foreign markets.
