Abstract

This bachelor thesis examines rights and obligations of the statutory body of a joint stock company. In the introductory part of the thesis there are defined basic terms relating to a joint stock company and its origin, purpose of establishing and formation of capital stock. In the next part the attention is focused on statutory body of joint stock company and its position in the organizational structure of the company. The activity and obligations of statutory body are discussed and divided into obligations of single members and obligations of the statutory body as a group. Subsequently, there are rights analysed, which belongs to the members of the statutory body and they are related with their remuneration. The last part of the thesis brings near the elementary changes which touch the legislation of a joint stock company and its statutory body in connection with future recodification of business law.
