Odpovědnost a ručení statutárních orgánů v kapitálových společnostech

Abstract

The subject of the diploma thesis called „Responsibility and Liability of statutory authorities in the capital companies“ is to summarize the basis aspects of the statutory authority´s performance. In the first chapter we can find the characteristic of limited liability companies, statutory authorities and the basic qualification requirements to perform the duties of statutory authorities. Rights and obligations of statutory authorities are determined in chapter two. In this part I highlighted the reasons for statutory body performance contract conclusion. Third chapter is focused on the responsibility, liability and the invalidity of an employment concluded between the company and its statutory authority. Finally, I summarized the theoretical information and expressed my views to this issue.
