Abstract

This bachelor thesis focuses on the process of converting a self-employed person's business into a limited liability company in order to create a stable basis for the operation of a family business. The main objective of the thesis is to evaluate the legal, economic and organisational aspects of this transformation and to assess its suitability in the context of intergenerational business transfer. The thesis also includes an analysis of the specifics of family business, which forms the theoretical framework of the entire study. Attention is paid also to the issue of succession and long-term stability of the family business. The work also includes the issue of the creation of a family constitution, which is a key instrument for formally enshrining the rules of the firm's operation, the division of powers, communication between family members and the strategy for future development. The family constitution is presented as a means to prevent conflicts and to strengthen the loyalty of family members to the firm. The practical part is elaborated in the form of a study of a self-employed person who decided to convert his business into an LLC and establish a family business. Based on this study, key steps and recommendations for successful transformation and the establishment of a family constitution are identified. The results show that a properly set up business transition along with clearly articulated family rules can contribute significantly to the stability and further development of the family business.
