The name of bachelor thesis: The Establishment and Development of a Private Limited Liability Company

Name of Student: Aneta Bražinová

The main subject of the bachelor thesis is establishment of Ltd. company. Theoretical part is focused on issues related to Ltd. company and process of its establishment. As for the practical part of this thesis I have created a fictive company, I also dealt with readymade company and described positives and negatives of Ltd. company.

The first part is devoted to historical development, legal regulation, characteristics of Ltd. company, and its body and as the last part of this chapter Ltd. company´s dissolution is considered.

The second part of the thesis consider mainly establishment process including Article of Association, administration and payment of deposit before the company is established, acquiring business and others rights, concept of trade register.

The third part represents the practical part – I describe particular steps needed when establishing Ltd. company. Further readymade company is issued and comparison of those two companies as far as time and finances are concerned.

The aim of this bachelor thesis is to elaborate the view into the Ltd. company establishment and particular steps needed to achieve this goal. I would like to point out the fact that there exist already established companies – so called readymade companies, which could be bought.
