Strukturalizace a analýza faktorů ovlivňujících efektivnost fúzí a akvizic

Abstract

During the last two decades mergers and acquisitions of enterprises (com-panies) have been one of the most important phenomena in the economic life of the Czech Republic and worldwide. Mergers and acquisitions have affected many companies throughout the commercial spectrum and manufacturing range, in highly developed countries and also in developing countries. It is necessary to perceive this as one of the chief forms of integration, which enables companies to create a competitive advantage. Mergers and acquisitions are connected to very complicated decisions from the financial and investment aspect. They include all the key elements of commerce, strategic management and analysis, banking, the Commercial and Civil Code, regulation of the capital markets, labour law, finance, taxes, accounting, management of human resources and management of company value, and are also related to the processes of restructuring and integration. Problem-free realisation of mergers or acquisitions requires extensive knowledge and competence and perfect teamwork by highly knowledgeable experts with practical experience in the aforementioned fields. This dissertation primarily focuses on establishing the decisive factors and the processes affecting the success and performance of merger and acquisition projects. The purpose of determination of these factors is to propose such proce-dures for management of mergers and acquisitions projects that will maximise their success and efectiveness. This dissertation contains secondary research and investigation with the goal of establishing and determining key factors for the success of mergers or acquisitions, as well as my own primary research, which seeks the answers to the same question. The results of the research are establishment and determination of package of key factors and processes affecting the success and performance of merger and acquisition projects. The procedures for management of merger and acquisition projects were proposed, which increase the probability of success and performance of these pro-jects, on the basis of these findings. The part dissertation also includes one case study of selected company which has taken part in acquisitions transactions during recent years and which was also element in the group of examined companies within the primary re-search.
