Vytvoření Compliance programu pro vybranou rodinnou společnost

Abstract

Tato diplomová práce se zabývá návrhem a implementací compliance programu pro vybranou rodinnou společnost v České republice. Cílem práce je analyzovat současný stav společnosti v oblasti dodržování právních a etických standardů a na základě zjištěných informací vytvořit komplexní compliance program, který bude reflektovat specifické potřeby a rizika spojená s činností firmy.

Práce nejprve popisuje teoretické základy compliance, včetně právních aspektů trestní odpovědnosti právnických osob a důležitosti etického řízení v podnikání. Na teoretickou část navazuje analýza současného stavu rodinné společnosti, která zahrnuje hodnocení interních procesů, rizik a stávajících kontrolních mechanismů. Na základě této analýzy je navržen detailní compliance program, který zahrnuje specifikace potřebných opatření, zavedení etického kodexu, vzdělávacích programů pro zaměstnance a efektivních nástrojů pro monitoring a hodnocení dodržování stanovených pravidel.

Kromě compliance programu práce předkládá návrh etického kodexu, který stanoví zásady chování očekávané od všech zaměstnanců a vedení společnosti. Kodex je navržen tak, aby podporoval transparentní a odpovědné rozhodovací procesy a posiloval důvěru mezi zaměstnanci, obchodními partnery a veřejností.

Výsledkem práce je soubor nástrojů a procedur, které pomohou společnosti nejen reagovat na aktuální výzvy v oblasti compliance, ale také se proaktivně připravit na budoucí legislativní změny a tržní požadavky. Tento compliance program poskytuje robustní základ pro zajištění udržitelného rozvoje rodinné společnosti, ochranu její pověsti a podporu jejího dlouhodobého úspěchu na trhu.

This master's thesis focuses on the design and implementation of a compliance program for a selected family-owned company in the Czech Republic. The aim of the thesis is to analyze the current state of the company in terms of legal and ethical standards adherence and, based on the findings, to develop a comprehensive compliance program that addresses the specific needs and risks associated with the company’s activities.

The thesis first outlines the theoretical foundations of compliance, including the legal aspects of corporate criminal liability and the importance of ethical management in business. Following the theoretical framework, an analysis of the current state of the family company is conducted, evaluating internal processes, risks, and existing control mechanisms. Based on this analysis, a detailed compliance program is proposed, which includes specifications for necessary measures, the introduction of an ethical code, educational programs for employees, and effective tools for monitoring and evaluation of compliance.

In addition to the compliance program, the thesis proposes an ethical code that establishes the principles of behavior expected from all employees and the management of the company. The code is designed to support transparent and responsible decision-making processes and to strengthen trust among employees, business partners, and the schema_dspacedb.

The result of the thesis is a set of tools and procedures that not only help the company respond to current compliance challenges but also proactively prepare for future legislative changes and market requirements. This compliance program provides a robust foundation for ensuring the sustainable development of the family-owned company, protecting its reputation, and supporting its long-term success in the market.
